Shell has agreed to sell its entire interest in Shell Nigeria Gas Group to indigenous energy firm Vaaris Energy Limited, marking a significant exit from Nigeria’s domestic gas distribution business after more than two decades of supplying industrial and commercial customers across the country.
The transaction, announced by Shell Petroleum B.V., transfers ownership of a gas distribution operation established to serve Nigeria’s industrial and commercial sectors. The business operates approximately 170 kilometres of pipeline infrastructure spanning Ogun, Abia and Rivers states, with more than 130 connected customers relying on its gas distribution services.
Vaaris Energy Limited, a Nigerian energy company with diverse interests across the oil and gas value chain, is taking over the operation with an existing operational footprint already established in the country. The divestment underscores Shell’s ongoing restructuring of its Nigerian portfolio as the international energy major concentrates capital on deepwater oil production and integrated gas operations, particularly its interest in Nigeria LNG Limited.
Shell Nigeria Gas, established in 1998, has served industrial and commercial users for more than 25 years. The company’s gas distribution network has been instrumental in supplying feedstock to manufacturing facilities, power plants and other energy-intensive operations across southern Nigeria.
Shell’s Country Chair in Nigeria Elohor Aiboni said the business had served its customer base with commitment and expertise from its workforce. She noted that the agreement would provide a stronger platform for the company’s next phase of growth under new ownership, while reaffirming Shell’s commitment to deepwater and integrated gas investments in Nigeria.
The Transaction Structure
The transaction covers Shell Nigeria Gas Holding B.V., established in 2019, which holds all but one of the shares in Shell Nigeria Gas Limited. Completion remains subject to regulatory conditions and approvals from the Nigerian authorities, with Shell Nigeria Gas Group continuing normal operations until the deal closes.
Until regulatory clearance is obtained, Shell Nigeria Gas Group will remain part of Shell and continue its operations and customer services as usual. The company’s operations are strictly confined to domestic gas distribution and do not extend to upstream gas production, liquefied natural gas (LNG) export, or international gas trading activities.
Strategic Rationale for Exit
Shell said the sale aligns with its global strategy of simplifying its portfolio and directing capital towards businesses where it has competitive strengths. The company’s retained interests in Nigeria’s deepwater sector and integrated gas business, including Nigeria LNG, remain central to that strategy going forward.
The divestment represents part of Shell’s broader restructuring to focus on higher-margin deepwater crude production and liquefied gas exports while divesting downstream and domestic gas distribution operations across its global portfolio. This strategic shift reflects industry trends toward specialisation and focus on core competencies.
Market Impact and Industry Context
The sale of Shell Nigeria Gas to Vaaris Energy represents a significant transition in Nigeria’s domestic gas distribution landscape. Vaaris Energy’s acquisition of the operation provides the buyer with immediate access to established infrastructure, customer relationships and operational expertise in Nigeria’s gas distribution sector.
The transaction signals continued consolidation in Nigeria’s energy sector, with international majors divesting non-core assets to domestic and regional players. This trend reflects shifting investor preferences and the maturation of Nigeria’s energy market, where localised, nimble operators are increasingly gaining ground.
Financial and Operational Details
The transaction’s financial terms were not disclosed in the announcement, though industry analysts expect the valuation to reflect the 170-kilometre pipeline network, customer base and operational track record of Shell Nigeria Gas. The gas distribution business has maintained stable customer relationships and consistent operational performance despite macroeconomic challenges in Nigeria.
Shell’s deepwater portfolio, including assets like the Bonga field and stakes in Nigeria LNG, remains among the most profitable segments of its Nigerian operations. By divesting the gas distribution business, Shell can redeploy capital toward these higher-yielding opportunities while reducing operational complexity in the downstream sector.
